East Palo Alto office of a BCG Attorney Search Top Ranked Law Firm seeks an associate attorney preferably with 2-7 years of private funds-related legal experience. The candidate will work on a variety of matters related to the formation of private funds, primarily for clients in the digital assets space. Will be working in an emerging, constantly evolving area of the law, helping us develop first-of-a-kind structures alongside the clients. Draft and negotiate documents in connection with the formation of investment funds and compliance matters, primarily focused on digital assets. Advise on corporate governance matters such as fund structure, operations of the clients funds and management companies, succession planning, carried interest arrangements, employee investment programs, marketing arrangements, and limited partner transfers. Advise on crypto-specific questions regarding investments in initial coin offerings (ICOs), non-fungible tokens (NFTs), simple agreement for future tokens (SAFTs), and other coin and token issues, and in areas related to blockchains, such as decentralized finance (DeFi) and mining/staking. Negotiate side letters and arrangements with service providers. Advise on cryptocurrency custody and trading arrangements to ensure compliance with regulatory requirements and market best practices. Help us grow the asset management platform in this dynamic space. Experience drafting and negotiating documents in connection with the formation of private investment funds needed. Experience advising fund sponsors on compliance and regulatory issues, specifically in the area of cryptocurrency, blockchain, and digital assets desired. Familiarity with a wide range of alternative investment strategies is preferred.

The candidate should have a J.D. degree from an accredited law school or equivalent. Excellent verbal and written communication skills are essential. Excellent interpersonal and client service skills are needed. Must have the ability to thrive in a high-paced environment. The ability to work both independently and as part of a team is essential. Excited to work in the high-growth area of crypto and digital assets.
