Senior Corporate Mergers And Acquisitions Associate Attorney

Nashville office of a BCG Attorney Search Top Ranked Law Firm seeks senior corporate mergers and acquisitions associate attorney with 5-7 years of experience. The candidate must have strong general corporate experience involving regulated financial instructions, both public and private, including experience advising such institutions on corporate governance matters. Must have strong M&A experience involving regulated financial instructions, both public and private, including drafting, reviewing, and negotiating definitive mergers, share exchanges, stock and asset purchases, purchase and assumption agreements, letters of intent, and other transaction agreements. A strong understanding of bank and bank holding company regulation, at both the federal and state levels, and the bank regulatory and examination processes is required. Experience preparing bank regulatory applications and notices and other regulatory filings, including that attendant to expansionary activities and investments is needed. Must have experience advising banks and bank holding companies on day-to-day operational matters. Experience managing large transaction teams and leading due diligence reviews is required. SEC reporting experience with publicly traded banks and bank holding companies is a plus.
