Dallas office of our client seeks banking, finance and securities associate attorney with 5 years of capital markets experience, including advising issuers and underwriters on equity and debt private and public securities offerings; drafting and negotiating key transaction documents; drafting and negotiating SEC-style disclosure documents and corporate governance compliance; and counseling U.S. and foreign clients on securities laws. The candidate will conduct complex corporate and finance law research on matters such as cross-border transactions, capital markets, SEC disclosure, corporate governance, and mergers and acquisitions. Will write legal memoranda; research and analyze corporate and securities law sources to prepare legal documents. Review and analyze public and private debt and equity offering documents and merger and acquisition documents. Advise issuers and underwriters on public and private securities laws and offerings, including drafting and negotiating key transaction documents. Must be licensed to practice law in the state of Texas.

Must have Juris Doctor or the equivalent
