Corporate and Securities Associate Attorney

Tysons Corner office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate and securities associate attorney with 3 years of experience in a large regional or national law firm. The candidate must have experience with 1933 Act equity and debt securities offerings and 1934 Act matters, including proxy statements, periodic reporting on Forms 8-K, 10-K and 10-Q, and Section 16 reporting. Must have experience advising issuers on public company corporate governance matters, and those candidates with a strong understanding of national securities exchange regulations, as well as key principles of executive director compensation, are preferred. Must be licensed to practice law in the jurisdiction in which they are located or have the ability to become licensed as soon as possible. Must have outstanding academic credentials. Must demonstrate excellent problem-solving skills and enthusiasm for general corporate counseling, ranging from ordinary course public company activities to significant transactions matters.
