Sacramento office of a BCG Attorney Search Top Ranked Law Firm seeks an associate attorney with experience litigating and trying cases concerning shareholder and partner disputes, trade secret matters, employment disputes, real property claims, as well as construction matters. The candidate will provide legal advice and services to the clients, including litigating and trying cases, forming and drafting legal documents, advising on business succession, shareholder and partner rights, trade secrets, mergers and acquisitions, construction, intellectual property, employment, and estate planning. Form and draft the necessary documentation for corporations, limited liability companies, and limited liability partnerships. Advise business owners on merger and acquisition strategies as well as draft the necessary documentation to protect the client's interests. Work with business owners to prepare living trusts, wills, and powers of attorney to ensure the continuity of a business owner's estate. Must have experience in reviewing and drafting construction agreements, mechanics' liens, stop notices, change order matters, and delay issues. Expertise in advising businesses on the best practices for managing trade secrets and drafting the requisite agreements for trade secret protection is required.

The candidate must have a Juris Doctor degree from an accredited law school, excellent written and verbal communication skills, strong organizational and time management skills, and the ability to work independently and collaboratively. Proficiency in preparing and filing applications on behalf of business owners for trademarks and copyrights is required. Knowledge of advising employers on wage and hour issues, disability matters, discrimination matters, as well as safe workplace issues is needed. Must have knowledge of advising business owners concerning buy-sell agreements, ESOPs, family succession issues, as well as other business succession issues. Should have an understanding of the rights, duties, and obligations of officers, directors, and shareholders in a corporation as well as the rights, duties, and obligations of partners in a partnership. Must have proficiency in preparing and drafting bylaws, shareholder agreements, buy-sell agreements, subscription agreements, operating agreements, and partnership agreements.
