Job Overview:
A prominent law firm is seeking a skilled Counsel to advise clients on a variety of complex transactions involving intellectual property (IP) and technology. This role will focus on working with public and private companies, private equity funds, and high-growth companies, providing legal support on acquisitions, mergers, carveouts, and sell-side transactions across multiple industries such as retail, technology, pharmaceuticals, life sciences, and more. The successful candidate will play a key role in drafting and negotiating complex legal documents, managing due diligence, and providing strategic legal advice to clients. This position offers an excellent opportunity to strengthen long-term client relationships and contribute to the firm's growth and reputation in the marketplace.

Location:

Duties:

  • Advise clients on complex transactions involving IP and technology, including acquisitions, mergers, carveouts, and sell-side transactions.
  • Draft and negotiate highly complex documents such as purchase agreements, financing documents, joint venture agreements, security agreements, licensing agreements, outsourcing and services agreements, and software development agreements.
  • Manage due diligence efforts, review and analyze legal documents, and draft diligence memos.
  • Provide authoritative legal advice and develop innovative, commercial solutions to complex legal issues.
  • Strengthen and maintain long-term client relationships and cross-sell business to new clients.
  • Lead and contribute to business development efforts, including pitching for new business.
  • Enhance the firm’s reputation in the marketplace by showcasing sector and client knowledge.
  • Lead matters, inspiring teams to deliver excellent client experiences.
  • Manage risk, adhere to conflict procedures, and maintain financial discipline.
  • Promote diversity and inclusion, challenge unconscious bias, and foster a collaborative team environment.
  • Contribute to the management and leadership of the practice or office, proactively managing team performance and talent development.

Requirements:

  • L.L.M. or foreign equivalent required.
  • Minimum of 6 years of progressively responsible experience at an international law firm, focusing on corporate legal transactions involving intellectual property.
  • Experience in drafting and negotiating legal documents related to tech transactions, private equity, and public M&A.
  • Proven experience in managing complex legal transactions and multi-party representations.
  • Experience in advising corporate clients on legal and regulatory compliance related to business transactions.
  • Strong project management skills with the ability to organize workflows and manage outstanding items.
  • Ability to apply legal analysis to identify issues and offer practical solutions.
  • Must be admitted to practice law in the State of New York.

Education:

  • L.L.M. or foreign equivalent required.

Certifications:

  • Admission to practice law in the State of New York.

Skills:

  • Expertise in intellectual property and technology law, particularly in corporate transactions.
  • Strong drafting and negotiation skills for complex legal documents.
