Job Overview:
A prominent law firm is seeking a Corporate Associate with 3–5 years of experience in investment management, private fund formation, and related regulatory matters. The role involves sophisticated transactional work within a collaborative and growth-focused legal team. This opportunity is ideal for candidates with a strong foundation in fund formation, investment adviser compliance, and strategic joint ventures.

Location:

West Haertford, CT

Duties:

  • Draft investment management and fund-related documents

  • Advise clients on regulatory compliance for investment advisers

  • Represent family offices and institutional investors in transactions

  • Negotiate and document private equity and venture capital financings

  • Work on mergers, acquisitions, and general corporate matters

  • Collaborate with attorneys across offices on complex legal challenges

Requirements:

  • 3–5 years of experience in investment management and private fund formation

  • Strong technical, professional, and client service skills

  • Effective communication and writing abilities

  • Ability to work independently and collaboratively

  • Proven problem-solving capabilities and creative legal thinking

  • Active bar membership in good standing in the relevant jurisdiction

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to the bar in the jurisdiction of practice (mandatory)

Skills:

  • Expertise in:

    • Investment management and regulatory compliance

    • Private equity and fund formation documentation

    • Drafting and reviewing legal agreements including:

      • Investment management agreements

      • Sub-advisory agreements

      • Private placement memoranda (PPMs)

      • Limited liability company operating agreements

      • Limited partnership agreements

      • Subscription agreements

      • Side letters

  • Strong attention to detail and document accuracy

  • Ability to manage multiple tasks and meet deadlines
