Manhattan Beach office of a BCG Attorney Search Top Ranked Law Firm seeks a business transactional attorney with 6-10 years of experience. The candidate will be responsible for generating and managing legal services in corporate, real estate, and business transactional matters. Will be advising clients in areas such as mergers and acquisitions, securities, and finance. Other areas of responsibility can include compliance issues, real estate transactions, manufacturing and distribution agreements, entertainment transactions, intellectual property, licensing agreements, and other contracts. Handle matters from inception to conclusion, meeting with clients, developing a comprehensive strategy, preparing, and executing engagement letters, and drafting and preparing contracts and business/corporate documents to meet the clients objectives. Draft, review and negotiate business contracts including, non-disclosure agreements, service agreements, subcontractor agreements, operating contracts, partnership agreements, surrender and release agreements, asset sale contracts, buy-sell agreements, and stock sale agreements. Draft, review and negotiate corporate documents including, but not limited to, annual/special shareholder and director minutes, shareholder agreements limited liability company and partnership formation documents, shareholder agreements, and standard corporate and other entity formation documents. Manage domestic and international M&A transactions and strategic investments, including coordination of legal strategy, negotiation, and due diligence. Draft, review, and negotiate securities documents including stock purchase agreements, disclosure documents, subscription agreements, and regulatory filings. Structure joint ventures between organizations. Collaborate with firm team members and provide support and expertise to other departments as needed. Should have an accredited law school and be licensed by the California State Bar.

The candidate should have effective, clear, concise, and accurate communication skills, both oral and written, at an appropriate level to the situation and the client. Must have a commitment to maintaining a high degree of discretion, confidentiality, and integrity in the handling of personal client information, including following the Rules of Professional Conduct. Should have ability to cultivate collaborative relationships with team members, as well as existing and future clients, by maintaining effective, consistent, and timely communication. Must have ability to develop a client following to increase the firms revenues. Advanced organizational skills essential. Solid critical thinking skills and good judgment needed.
