Milwaukee office of a BCG Attorney Search Top Ranked Law Firm seeks staff counsel with 3+ years of relevant legal experience, including experience with a large law firm or in-house practice. The candidate will be developing and implementing guidelines for agreements between the Firm and its vendors and reviewing agreements between the Firm and its clients. Will work with the Procurement Department and other members of the Firm to assist with various aspects of vendor agreements as follows: Review and negotiate contracts between the firm and its vendors, primarily for the Technology and Marketing and Business Development Departments, but also with other departments as needed. Engage and coordinate with internal resources (e.g. information security, privacy, subject matter experts, and stakeholders) on contracting terms as needed. Work closely with department leadership to receive approvals for any deviations from the Firm's contracting guidelines and standard practices. Develop and implement guidelines for vendor agreements, including with respect to limitations of liability, indemnification, and minimum insurance coverages. Provide advice and counsel to the Firms administrative staff and business leaders regarding key commercial and legal considerations throughout the contracting process. Assist in the selection and integration of a contract management tool and contract repository, as well as the development of related processes and policies to implement them. Work with department leadership to develop and maintain template or form documents (e.g., master service agreements, terms, and conditions, etc.). Develop and maintain relationships with staff departments to understand the contract needs of all departments in order to assist with contracting needs when necessary. Review agreements with clients, including engagement letters, outside counsel guidelines, requests for proposals, third-party consulting agreements, and non-disclosure agreements. Assist with the review and negotiation of Business Associate Agreements between the Firm and its vendors. Work with the Firms attorneys to ensure that the client agreement comport with the Firms requirements. Responsible for alerting the Associate General Counsel to potential professional responsibility or compliance issues, and undertaking other projects or special initiatives at their direction. Should have a demonstrated understanding of various types of agreements, including Software License Agreements (SaaS and on-prem), Professional Service Agreements, Marketing and Event Agreements, and Non-Disclosure Agreements, including direct experience in negotiating and managing contracts. Must have strong legal research and writing skills with the ability to translate legal requirements into operational processes. Experience interacting with senior management preferred. Must have current license to practice law in the state. Should have excellent oral and written communication skills.
