A law firm seeks an experienced Associate Transactional Attorney to join its team in San Diego, California. This full-time position is ideal for an attorney with 3-6 years of experience in corporate transactions, including mergers and acquisitions (M&A), joint ventures, and general business dealings. The successful candidate will work on a broad spectrum of transactional matters, including public filings, corporate governance, and securities law. The firm offers a collaborative environment where you will handle high-level client work while advancing your skills in complex business transactions.

Duties:

  • Represent clients in a variety of transactional matters, including mergers, acquisitions, joint ventures, and general business transactions.
  • Draft and review complex legal documents, such as M&A agreements, shareholder agreements, and venture capital agreements.
  • Advise clients on corporate governance, securities law, and public filings.
  • Conduct legal research and provide actionable insights on corporate and business matters.
  • Collaborate with senior attorneys to develop strategies and solutions for client matters.
  • Manage client relationships and maintain clear communication on case progress.

Requirements:

  • 3-6 years of legal experience in corporate transactions, including experience with mergers and acquisitions, joint ventures, and business agreements.
  • Licensed to practice law in California.
  • Strong analytical skills and sound business judgment.
  • Ability to work independently as well as within a team environment.
  • High ethical standards and integrity in all professional dealings.
  • Excellent research, writing, and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active license to practice law in California.

Skills:

  • Experience drafting complex agreements, including M&A and joint venture agreements.
  • Knowledge of corporate governance and securities laws, including Regulation D and Regulation A+.
  • Familiarity with public filings and related compliance matters.
  • Strong business acumen and problem-solving capabilities.
  • Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
