Mergers and Acquisitions Associate Attorney

Irvine office of a BCG Attorney Search Top Ranked Law Firm seeks mergers and acquisitions associate attorney with experience. The candidate will work independently as well as collaboratively with partners and senior associates as an integral part of the fast-paced Mergers and Acquisitions team. Will be forming and maintaining business entities and advising clients on potential opportunities. Advising clients regarding business succession planning and corporate governance. Reviewing, drafting, and negotiating business contracts. Experience managing due diligence, data rooms, and preparing disclosure schedules essential. Knowledge of corporate matters concerning closely held private companies, including formations, governance, and maintenance needed. Previous tax experience is a plus. Must be a member in good standing of the California Bar.

The candidate should have a J.D. degree from an accredited law school. Must have the ability to interact comfortably with management; work independently; have strong drafting skills; exceptional interpersonal skills; highly team-oriented. Should have the ability to manage high-pressure, time-sensitive, and complex business transactions.
