Chicago office of a BCG Attorney Search Top Ranked Law Firm is actively seeking associates to join our Executive Compensation Group. The candidate will have presentation skills at level necessary for senior executives and directors. Will be designing and drafting short-term and long-term incentive plans including broad array of equity arrangements such as profits interest program, stock option plans, restricted stock and unit plans; appreciation rights, performance/share plans and other similar plans. Designing and drafting executive employment, severance and change-in-control agreements. Designing and drafting non-qualified deferred compensation arrangements. Designing and drafting compensatory arrangements for privately-held entities. Advising companies and boards on SEC disclosures relative to executive compensation and governance and general knowledge of applicable Federal Securities Laws. Advising companies on applicable tax rules such as IRC Sections 409A, 280G, 83. An undergraduate degree in a discipline such as business, finance, economics or accounting, and/or a CPA, a plus. Should have 3+ years of experience. Experience with executive compensation issues arising in corporate transactions including planning in the context of mergers, acquisitions, capital raising events, public offerings, joint ventures are essential. Experience in bringing multidisciplinary services to clients and effectively teaming with other firm resources such as labor and employment, corporate tax, litigation, employee benefits and the like are needed.

The candidate should have strong academic credentials and highly effective written and verbal communication skills. A Bachelors Degree as well as a J.D. from an accredited university is required.
