New York City office of an AmLaw firm seeks mid-level derivatives associate attorney with 2+ years of corporate/private funds experience. The candidate will assist clients in the formation of a variety of private investment funds, including buyout funds, hedge funds, hybrid funds, credit funds, energy funds, infrastructure funds, co-investment funds, distressed debt funds, and fund of funds. Will draft and negotiate organizational documents for clients private funds and/or managed accounts and assist in the detailed review and preparation of their offering and marketing materials, as well as the development of their fund-raising strategies, and also negotiate with U.S. and non-U.S. investors investing into such funds. Assist clients with management company formation, arrangements among principals/investment professionals/employee compensation, strategic partnerships and portfolio manager arrangements, as well as with upper-tier third-party investment management mergers and acquisitions (including minority stake investments) from term sheet stage until closing. Draft and negotiate governing agreements incorporating limited control/revenue strip arrangements for the management company and general partner entities alongside drafting related upper-tier documents in connection with closing. Assist clients with secondary sale transactions related to portfolio fund interests from letter of intent stage until closing, and draft and negotiate letters of intent, purchase and sale agreements, ROFR notices and transfer agreements. Advise clients on regulatory and compliance issues, including the development of compliance tools, policies and procedures, including by interacting with U.S. regulatory bodies (the U.S. Securities and Exchange Commission (SEC), and the Commodity Futures Trading Commission (CFTC), and assist in the development of compliance tools, policies and procedures. Supervise and coordinate multiple teams of 1-5 junior attorneys and legal support professionals. Must possess an LL.M. degree or a foreign degree equivalent. Must be admitted to the NY State Bar. Should have 2+ years of experience in fund formation for private equity/hedge fund clients and mergers and acquisitions transactions for investment management firms.

The candidate must possess a JD degree. Must display academic excellence as indicated by cum laude/magna cum laude/distinction/scholar/B+ GPA and/or law review/journal experience.
