Corporate and Securities Associate Attorney

Sacramento office of a BCG Attorney Search Top Ranked Law Firm seeks corporate and securities associate attorney with 3+ years of significant experience in private equity fund formation and related matters. The ideal candidate should have experience at a large law firm, in assisting private equity fund and venture capital sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements, reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms, and structuring and drafting governing documents pertaining to private equity and venture capital fund management companies and general partners. Should have a working knowledge of relevant securities rules and regulations, including the Investment Advisers Act. Experience with private equity and venture capital secondary transactions, hedge fund formation and representing institutional investors would also be helpful. Should be admitted and in good standing as a member of the local offices respective State Bar, and have current or prior employment with an AmLaw 100 firm.

The candidate should have a strong academic background along with exceptional research and writing skills. Must have a Bachelors Degree, a JD from an ABA-accredited US law school.
