A law firm in Dallas, TX, is seeking a Private Investment Funds Associate Attorney with 4-5 years of experience. The ideal candidate will work closely with sponsors of and investors in various investment funds, including private equity, real estate, and credit funds, in structuring, offering, managing, investing, and addressing related regulatory matters. This role will involve direct interaction with partners and clients and provide an opportunity to contribute to a fast-paced practice with substantial client engagement.


  • Collaborate with sponsors and investors in investment funds on matters related to structuring, offering, management, and regulatory compliance.
  • Draft fund formation documentation, including Private Placement Memoranda, Subscription Agreements, Partnership Agreements, joint venture agreements, side letters, opinions, backup certificates, amendments, Management Company Agreements, and General Partner Operating Agreements.
  • Possess a strong understanding of related tax issues (UBTI and ECI), ERISA, real estate, and familiarity with legal areas such as the 1933 Act (Regulation D, etc.), Investment Company Act, Investment Advisors Act, Delaware LLC, and Limited Partnership law, Volcker Rule Covered Funds-related issues, and public plan sunshine statutes.
  • Draft and negotiate fund investment documentation, including co-investment documentation, LLC Agreements, Subscription Agreements, and side letters.
  • Demonstrate a desire and ability to take responsibility for all aspects of fund formation and closing matters, as well as ongoing administration of funds and co-investment transactions.


  • A JD degree from an ABA-accredited law school with top academic credentials.
  • Significant experience in drafting fund formation and investment documentation.
  • Texas Bar admission or the ability to become admitted in Texas.
