A law firm in New York City, NY, is seeking an Employment, Executive Compensation, and Employee Benefits Associate Attorney with 3-6 years of substantial work experience in handling employment aspects of private equity or mergers and acquisitions transactions. The successful candidate will be responsible for providing legal counsel on employment matters, drafting and negotiating employment-related agreements, advising clients on transaction structuring, and managing pre-litigation disputes and litigation cases.

Duties:

  • Collaborate with senior attorneys to address employment aspects in various transactions involving private equity clients and strategic investors.
  • Draft, review, and negotiate employment agreements, offer letters, separation agreements, and restrictive covenant agreements.
  • Conduct legal research to ensure compliance with applicable state laws.
  • Advise clients on strategic approaches to structuring transactions, market practices, and legal considerations in areas such as wage and hour, discrimination, performance, discipline, leave of absence, and disability.
  • Participate in due diligence calls with management, negotiate transaction documents, and ensure legal compliance.
  • Analyze the legal and factual background of pre-litigation disputes and litigation matters.
  • Work with senior attorneys to develop case strategy, prepare court and agency filings, and respond to legal actions.

Requirements:

  • 3-6 years of substantial work experience in employment aspects of private equity or mergers and acquisitions transactions.
  • Experience in drafting and negotiating employment-related agreements, including employment agreements, offer letters, restrictive covenant agreements, and separation agreements.
  • Excellent academic credentials.
  • Admission to practice in the state of New York or eligibility to obtain admission promptly in the state.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to practice law in the state of New York or eligibility to obtain admission.

Skills:

  • Strong knowledge of employment law, including wage and hour regulations, discrimination, and related areas.
  • Exceptional drafting and negotiation skills.
  • Legal research and analytical abilities.
  • Strategic thinking and judgment in transaction structuring.
