Mergers and Acquisitions Attorney

Dallas office of our client seeks a mergers and acquisitions attorney with 3-6 years of corporate experience. The candidate will receive assignments involving M&A transactions, with the remainder being general corporate transactions. Develop a mastery of managing risk and creating value using corporate documentation and legal advice together with business strategy. Should have experience with mergers and acquisitions transactions, assembling, organizing, reviewing, and summarizing material diligence materials, drafting provisions and transaction documents, and participating in or leading closings. Recent experience should also include general corporate work, such as recording-keeping for and managing notices of shareholder, partner, member, director, manager, or general partner meetings; balancing the rights and obligations of owners, fiduciaries, and agents of corporations; and/or other corporate transactions. Must be an active member in good standing with the Texas Bar.

The candidate must have a J.D. degree from an ABA-accredited law school. Basic familiarity with capital, equity, and debt structuring with companies pre- and post-closing in both asset and equity transactions is required.
