Corporate Securities/Capital Markets Associate Attorney

A law firm in Chicago, IL, is seeking a Corporate Securities/Capital Markets Associate Attorney with 2-5 years of experience in corporate law, specifically in securities law and capital markets transactions. The successful candidate should have a deep understanding of public company reporting obligations, public securities offerings, SEC compliance, corporate governance, and debt and equity market transactions. The role requires the ability to lead due diligence teams, manage specialists, and draft critical legal documents. Duties and Responsibilities:

• Advise clients on public company reporting obligations, ensuring compliance with SEC regulations and corporate governance requirements.
• Provide legal counsel on public and private offerings of equity and debt securities.
• Draft and review key legal documents, including prospectuses, offering memoranda, registration statements, and periodic filings for securities offerings.
• Lead and manage due diligence teams for capital markets transactions, coordinating with specialists to ensure thoroughness and accuracy.
• Monitor SEC filings and regulatory updates to advise clients on the latest compliance requirements.
• Assist clients with corporate governance matters, including compliance with best practices and legal mandates.
• Collaborate with internal teams and client advisors to ensure seamless execution of capital markets transactions.
• Manage multiple assignments concurrently with minimal supervision, meeting tight deadlines and delivering quality work.

Requirements:

• 2-5 years of experience in corporate law, with a focus on securities law and capital markets transactions.
• In-depth knowledge of SEC regulations, corporate governance, and public company reporting obligations.
• Proven experience leading due diligence teams and managing capital markets transactions.
• Strong drafting skills for legal documents related to public and private securities offerings and regulatory compliance.
• Ability to work independently, handling multiple assignments efficiently.

Education and Certifications:

• Juris Doctor (JD) degree from an accredited law school.
• Licensed to practice law in Illinois and in good standing, or eligibility for admission.
