Dallas office of our client seeks corporate advisory attorney with 4 years of transactions experience. The candidate will handle complex domestic and cross-border corporate and securities transactions, mostly involving Latin America, including advising clients on matters relating to mergers, asset and stock acquisitions, venture financing transactions, strategic alliances and joint ventures, SEC offerings, SEC disclosure, corporate compliance, including anti-corruption compliance and other matters of general business law. Will interpret U.S. and foreign laws, rulings and regulations. Recommend specific courses of legal action in business and personal matters based on analysis of U.S. and Latin American legal sources and analysis of Latin American business practices and culture. Work with public and private companies in diverse industries. Assist global clients in conducting anti-corruption compliance training and investigations, primarily involving Latin America. Interact and negotiate with governmental agencies in U.S. and Latin America. Research corporate issues, write legal memo, conduct due diligence and produce agreements in connection with corporate transactions in English and Spanish. Translate and analyze Spanish legal documents. Engage and meet with clients on such issues. Must have experience of in-depth legal research in both U.S. and Latin American law sources utilizing conventional printed sources and automated computer sources. Must be fluent in Spanish and have extensive familiarity and experience with Latin American culture. Should be admitted to Texas Bar.
