New York City office seeks erisa attorney with 3-4 years of experience. The candidate should have substantive experience in executive compensation and employee benefits considerations in the context of mergers, acquisitions, and divestitures, including in the public and private company contexts. Must have substantive depth under Sections 409A, 457A, 280G, 83 and 162(m) of the Internal Revenue Code. Should also have sufficient experience and understanding of the tax qualification rules for retirement plans under Section 401(a) of the Code and have worked with the design and documentation of qualified plans, deferred compensation and equity based arrangements. Must have experience with the ERISA considerations associated with private fund formation, including, the "25 percent test," and VCOC and REOC matters, including portfolio asset acquisition and disposition and compensation matters related thereto. An understanding of ERISA's fiduciary responsibility and prohibited transaction rules as applied to capital markets transactions (broker-dealers, FCMs, money managers) and of Title IV related considerations in the context of bankruptcies and insolvencies is a plus.
