The transaction between Zoran and Microtune is worth about $166 million. Under the agreement, shareholders of Microtune would receive $2.92 for every single share of Microtune common stock. Shareholders of Microtune are alleging that the price is less than what the stock is worth.
Briscoe will investigate potential breaches by Microtune's Board of Directors of fiduciary duty as well as other violations of >state law.
